Terms and Conditions

These Terms and Conditions govern every purchase made through this site from Helm Compounds LLC, doing business as Helm Compounds.
By placing an order, the buyer agrees to these Terms in full, including the research-use-only restrictions in Section 1.
1. Research Use Only and General Terms of Sale
a. Permissible Use
Everything Helm Compounds sells is a chemical reference material intended for laboratory research use only. Products are not drugs, dietary supplements, cosmetics, or medical devices, and are not for human or veterinary consumption. Nothing sold through this site is intended for diagnostic or therapeutic use of any kind.
b. Qualified Purchasers
By placing an order, the buyer certifies that they are a qualified researcher, or are purchasing on behalf of a laboratory, research institution, or other research entity qualified to handle research chemicals. The buyer also certifies that they are at least 21 years old.
c. Export and Resale Restrictions
A buyer who exports a product takes full responsibility for compliance with the export, import, and customs laws of every jurisdiction the product passes through or enters. Resale of any product for human consumption, or for any use inconsistent with this section, is prohibited.
d. No Medical Advice
Nothing on this site, in a product listing, or in a communication from Helm Compounds constitutes medical advice. No statement about a product's properties should be read as a recommendation for use in or on the human body.
e. Regulatory Compliance
The buyer is solely responsible for determining whether their intended use of a product complies with the laws and regulations that apply to them, including the laws of their own state or country and the rules of their research institution.
f. Limitation on Reliance
Analytical data, specification sheets, and other technical material we provide are for reference only. The buyer should independently verify any information material to their research before relying on it.
g. Safe Handling, Storage, and Disposal
The buyer is responsible for the safe handling, storage, and disposal of every product they purchase, in line with applicable laboratory safety standards and local law. Helm Compounds LLC is not responsible for how a product is handled once it leaves our control.
2. Ordering and Payment
Submitting an order is an offer to purchase, not an accepted sale. We may accept, decline, or cancel any order for any reason, including suspected misuse, incomplete verification, or a pricing or inventory error.
The price shown at checkout is verified against our current pricing at the time an order is placed and is not binding until we confirm the order. If a listed price differs from the verified price, we will reach out to the buyer before proceeding.
Sales tax is collected on orders shipping to a California destination, consistent with our physical presence there.
Payment is arranged after an order is placed. No product ships until payment has cleared.
3. Shipping
We ship orders once payment has cleared and the order has been prepared for transit.

4. Returns and Refunds
All sales are final. The one exception is a product that arrives damaged or broken, which the buyer must report within 7 days of delivery along with photographs of the damage.
A verified damaged-or-broken claim is resolved by reshipment of the product or by store credit. We do not issue cash refunds.

5. Prohibited Uses
Buyers may not use a product purchased from Helm Compounds for human or animal consumption, for clinical or diagnostic use, or for any therapeutic purpose.
Buyers may not resell a product as a drug, dietary supplement, or cosmetic, or otherwise misrepresent what a product is or what it is intended for.
Buyers may not use a product for an unlawful purpose, and no one under 21 may purchase or use a product sold on this site.
6. Intellectual Property
All content on this site, including text, graphics, logos, and product descriptions, is the property of Helm Compounds LLC or its licensors. No one may copy, reproduce, or distribute this content without our written permission.
7. Disclaimer of Warranties
Products are sold as is, with no warranty of merchantability or fitness for a particular purpose, express or implied.
Specifications, certificates of analysis, and other technical data we provide are for reference only and are not a guarantee of any particular result.
8. Limitation of Liability
To the extent permitted by law, our total liability for a claim arising from an order is limited to the amount the buyer paid for the order giving rise to the claim.
We are not liable for consequential, incidental, indirect, or punitive damages of any kind.
9. Indemnification
The buyer agrees to indemnify and hold Helm Compounds LLC harmless from any claim, loss, or expense arising from the buyer's use, handling, storage, or distribution of a product purchased on this site.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of California, without regard to its conflict-of-law rules.
Any dispute arising from these Terms or an order will be brought exclusively in the courts located in California.
11. Force Majeure
We are not responsible for a delay or failure to perform caused by an event outside our reasonable control, including natural disaster, labor dispute, supplier failure, or government action.
12. Severability
If a court finds any part of these Terms unenforceable, the rest of these Terms remain in full effect.
13. Changes to These Terms
We may update these Terms at any time by posting a revised version with a new effective date. Continued use of the site after the posted effective date is acceptance of the revised Terms.
